WHEREAS, in accordance with ORC 3345.82, a trustee may attend a meeting called in accordance with Ohio Administrative Code 3339-1-02, by means of virtual or electronic communications, provided:

That at least one-third of the trustees attending the meeting shall be present in person at the place where the meeting is conducted;

That all votes taken at the meeting are taken by roll call vote; and

That a trustee who intends to attend a meeting via means of electronic communication notified the chairperson of that intent not less than forty-eight hours before the meeting, except in the case of a declared emergency.

THEREFORE, BE IT RESOLVED, that the Board of Trustees hereby adopts following Attendance by Trustees at Emergency and Special Meetings by Means of Electronic Communications policy:

Purpose of Policy

This policy shall permit members of the ÍÃ×ÓÏÈÉú University Board of Trustees to attend any special or emergency meeting only, called in accordance with Ohio Administrative Code 3339-1-02, by means of virtual or electronic communications. This policy shall not apply to regular meetings of the Board of Trustees.

Policy

  1. A. In accordance with ORC 3345.82, a trustee may attend a special or emergency meeting of the Board of Trustees, via electronic communication, provided:
    1. That at least one-third of the trustees attending the meeting shall be present in person atthe place where the meeting is conducted; 
    2. That all votes taken at the meeting are taken by roll call vote; and 
    3. That a trustee who intends to attend a meeting via means of electronic communicationnotified the chairperson of that intent not less than forty-eight hours before the meeting, except in the case of a declared emergency.
  2. A trustee who attends a special or emergency meeting via means of electronic communication is considered to be present at the meeting, is counted for purposes of establishing a quorum, and may vote at the meeting.
  3. For regular meetings of the Board of Trustees, those trustees not present in person shall be considered absent, and may not participate in the meeting.
